Acceptance of Terms

Welcome to Handify. These Terms of Service ("Terms") govern your access to and use of Handify's mobile application and web platform (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Last updated" date at the top of these Terms or by sending you a notification. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

Description of Service

Handify is a field service management platform designed for contractors, electricians, plumbers, HVAC technicians, and other service professionals. Our Service provides tools for:

• Job management and scheduling
• GPS-enabled time tracking and timesheets
• Customer relationship management (CRM)
• Estimates and invoicing with PDF generation
• Document storage and management
• Team collaboration and communication
• Reporting and analytics

User Accounts

Account Registration

To use Handify, you must create an account by providing accurate and complete information. You agree to:

• Provide truthful, accurate, and complete registration information
• Maintain and update your account information to keep it accurate and current
• Maintain the security and confidentiality of your login credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

Account Types

Handify offers different account types with varying levels of access:

• Business Owner/Admin: Full access to manage jobs, employees, customers, billing, and settings
• Technician/Employee: Access to assigned jobs, time tracking, and job-related features

Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activities. You may terminate your account at any time by contacting us at support@handify.site.

Acceptable Use

You agree to use Handify only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service in any way that violates applicable federal, state, local, or international law
• Transmit any harmful code, viruses, or malicious software
• Attempt to gain unauthorized access to any part of the Service or other users' accounts
• Interfere with or disrupt the Service or servers
• Use the Service to send spam, unsolicited communications, or marketing materials
• Impersonate any person or entity or falsely state or misrepresent your affiliation
• Collect or store personal data about other users without their consent
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use the Service for any competitive purposes or to build a competing product

Subscription and Payment

Subscription Plans

Handify offers various subscription plans with different features and pricing. By subscribing, you agree to pay the fees associated with your chosen plan on a recurring basis until you cancel.

Billing

• Subscription fees are billed in advance on a monthly or annual basis
• You authorize us to charge your payment method for all fees owed
• All fees are non-refundable except as required by law or as expressly stated in these Terms
• We reserve the right to change our pricing with 30 days' notice
• Failure to pay may result in suspension or termination of your account

Free Trial

We may offer a free trial period for new users. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.

Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation will take effect at the end of your current billing period, and you will retain access until that date.

User Content and Data

Your Data

You retain all ownership rights to the data, content, and information you submit to Handify ("User Content"). This includes:

• Customer information and contact details
• Job records, estimates, and invoices
• Photos, documents, and files uploaded to the Service
• Time tracking and GPS location data
• Notes, comments, and communications

License to Handify

By uploading User Content to the Service, you grant Handify a limited, non-exclusive, royalty-free license to use, store, process, and display your User Content solely for the purpose of providing the Service to you. This license terminates when you delete your content or account, except where retention is required for legal purposes.

Responsibility for User Content

You are solely responsible for your User Content and the consequences of sharing it. You represent and warrant that:

• You own or have the necessary rights to use and authorize the use of your User Content
• Your User Content does not violate any third-party rights (including privacy, publicity, copyright, or trademark)
• Your User Content does not contain illegal or harmful material

Data Backup

While we implement backup procedures, you are responsible for maintaining your own backup copies of critical data. We are not liable for any loss or corruption of User Content.

Intellectual Property Rights

The Service, including its software, features, functionality, and all content (excluding User Content), is owned by Handify and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit these restrictions or you have our written permission.

Third-Party Services

Handify integrates with third-party services such as payment processors (Stripe), communication services (Twilio, Resend), and cloud infrastructure (Firebase/Google Cloud). Your use of these services is governed by their respective terms of service and privacy policies. We are not responsible for the practices or content of third-party services.

Disclaimers and Limitations of Liability

Service Provided "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• The results obtained from the Service will be accurate or reliable
• Any errors in the Service will be corrected

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HANDIFY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, trojan horses, or the like transmitted through the Service by any third party
• Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Service

IN NO EVENT SHALL HANDIFY'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO HANDIFY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Indemnification

You agree to indemnify, defend, and hold harmless Handify and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your access to or use of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including privacy, publicity, or intellectual property rights
• Your User Content

Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Arbitration Agreement

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration before one arbitrator. The arbitration shall be administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

You agree that any arbitration shall be limited to the dispute between you and Handify individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.

General Terms

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Handify regarding the use of the Service, superseding any prior agreements.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Handify's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

Force Majeure

Handify shall not be liable for any failure to perform its obligations where such failure results from any cause beyond Handify's reasonable control, including technical failures, natural disasters, or governmental actions.
